Overview

Under the agreement of this take-private transaction worth C$9 billion, Boralex will continue to operate as an independent private company following closing.

Our Outlook Series 2026 provides forward‑looking analysis of the most important legal, regulatory, and market developments affecting Canadian organizations.

Michel Gagné is a senior partner in McCarthy Tétrault’s Litigation Group in Montréal and a leading defence counsel in high-stakes class actions involving health-related issues. His practice focuses on large-scale product liability and environmental class actions raising complex scientific, medical and reputational considerations.

He regularly represents pharmaceutical manufacturers and other product manufacturers in national class actions, frequently conducted in parallel with proceedings in the United States and other jurisdictions. In these matters, he acts as a key member of national defence teams and, in several cases, has assumed responsibility for coordinating the Canadian defence strategy. His work involves technically sophisticated prescription drug litigation requiring the integration of scientific evidence, regulatory frameworks and risk management considerations.

Mr. Gagné also acts in major environmental class actions, including matters involving alleged airborne contaminants and other emissions affecting public health. These proceedings involve complex causation analyses, multiple potential emission sources and significant social acceptability and reputational considerations for corporate defendants.
