David Cuschieri provides deep industry perspective and creative legal acumen to clients around the world on significant energy and infrastructure transactions and projects.

David is the head of the Calgary Energy group. David has a long track record working with clients in their corporate and commercial work, including domestic and international energy, oil and gas, power and related infrastructure transactions. His extensive experience includes advising on acquisitions, divestitures, joint ventures, partnerships, and project development.

David’s robust experience spans the ecosystem of energy and infrastructure transactions, including all aspects of private M&A in various other industries, working closely with both energy and infrastructure companies as well as a wide range of private and publicly traded issuers, pension funds, private equity and other institutional investors.

Torys acted as counsel to Veren in the C$400 million sale of infrastructure assets in Alberta Montney to Pembina Gas Infrastructure Inc. (“PGI”), including the negotiation of a long-term services agreement, pursuant to which PGI has agreed to fund up to C$300 million in future infrastructure development in Veren’s Alberta Montney assets area

Torys acted as counsel to Enbridge in its C$3.1 billion sale of its 50.0% interest in Alliance Pipeline and its 42.7% interest in Aux Sable to Pembina Pipeline Corporation

AltaGas in its joint venture with Royal Vopak for the phased development of the Ridley Island Energy Export Facility, a large-scale LPG and bulk liquids terminal with marine infrastructure on Ridley Island, British Columbia, including the negotiation of joint venture agreements, long-term supply and offtake agreements, dock berthing arrangements and operating and maintenance services agreements

Enbridge in its partnership arrangements with Pacific Energy Corporation Limited for the construction and operation of the C$5.1 billion Woodfibre LNG project in southwestern British Columbia, including the acquisition of a 30% equity interest from Pacific Energy

Alberta Investment Management Corporation (AIMCo) in its acquisition of an 85% equity stake in the Northern Courier Pipeline from TC Energy Corporation
