Overview

Bernie is a member of the Securities/Corporate Finance/Mergers & Acquisitions team. For over 35 years, he has maintained a comprehensive securities and corporate law practice, guiding clients through complex transactions with a pragmatic and strategic approach This includes acting extensively for Boards of Directors and special committees of Boards.

Bernie works with domestic and international public and privately held companies from a wide variety of sectors, including mining and technology, on a variety of matters, including:

Corporate Finance – advising on public offerings, private placements, rights offerings, and credit facilities.

Securities Law – advising on general securities matters including stock exchange listings, take-over bids, issuer bids, going private transactions, and proxy battles; acting for a wide variety of companies listed on the TSX, TSX Venture Exchange, NYSE American, and NASDAQ; and acting as a director or officer of publicly listed companies.

Mergers & Acquisitions – advising on public company acquisitions by way of plans of arrangement and amalgamations, corporate spinout with stock exchange listings.

Mining Law - representing clients in the mineral resource and mining industry, including mineral property transactions; royalty and streaming agreements; joint venture agreements; and technical report NI 43-101 compliance work.
