Counsel to Peloton Computer Enterprises Ltd. in a strategic investment by the Carlyle Group and the concurrent investment exits of Silver Lake, HarbourVest Partners, and TriWest Capital Partners as well as certain other minority shareholders.

Acquisition of Performance Energy Services Limited Partnership ("PESLP") by Performance Energy Services Inc. ("PESI") (both widely held, affiliated private companies) by way of statutory plan of arrangement under the Business Corporations Act (Alberta) involving PESI, PESLP, 2719535 Alberta Ltd. and the holders of Class A Units, Series 1 of PESLP, and related internal reorganization.

Counsel to private oil & gas company in its asset spinout and $52 million share sale to Tamarack Valley Energy Ltd.

Acted as counsel to Saguaro Resources Ltd, a Calgary-based oil and gas exploration and production company, in its $500 million acquisition by Tourmaline Oil Corp. by way of a plan of arrangement.

Counsel to Whitecap Resources Inc. for its business combination with Veren Inc. completed by statutory plan of arrangement in an all-share transaction valued at approximately $15 billion to create the seventh largest oil and natural gas producer and the fifth largest natural gas producer in Canada.

Counsel to Buhler Industries Inc., a Toronto Stock Exchange listed Canadian manufacturer of agricultural equipment, including Farm King and Versatile products, in a going private transaction that valued the company at CAD$182,500,000
