BD&P assisted with Obsidian Energy Ltd.'s acquisition of light oil assets from Highwood Asset Management Ltd. in the Wilson Creek area of Willesden Green for an unadjusted purchase price of $105MM. Obsidian acquired approximately 2,500 boe/d and 35 net sections of land.
Acquisition of Performance Energy Services Limited Partnership ("PESLP") by Performance Energy Services Inc. ("PESI") (both widely held, affiliated private companies) by way of statutory plan of arrangement under the Business Corporations Act (Alberta) involving PESI, PESLP, 2719535 Alberta Ltd. and the holders of Class A Units, Series 1 of PESLP, and related internal reorganization.
Counsel to Ag Growth International in its $97.75 million public offering of senior subordinated unsecured debentures
Counsel to Whitecap Resources Inc. for its business combination with Veren Inc. completed by statutory plan of arrangement in an all-share transaction valued at approximately $15 billion to create the seventh largest oil and natural gas producer and the fifth largest natural gas producer in Canada.
Counsel to Obsidian Energy Ltd. (TSX / NYSE American) for the sale of its operated Pembina assets to InPlay Oil Corp. for total consideration of approximately $320 million comprised of: (1) $220 million cash; (2) $85 million of InPlay shares; and (3) InPlay's 34.6% working interest in the Willesden Green Cardium Unit #2.
